Part 4 of 8 in How to Negotiate: A Guide for Indian Founders← Part 3Part 5 →
Seed Stage: Co-founders, Early Angels, and First Customers
The highest-leverage negotiations occur when the company is still small and the cost of correction remains low. Founders should document roles and responsibilities, implement reverse vesting of equity over a standard four-year period with a one-year cliff, assign intellectual property created for the company, and establish basic decision rights and deadlock mechanisms. Early customer pilots should include clear success metrics and conversion paths rather than open-ended unpaid customization. Even a simple written understanding of equity intent, contribution expectations, and vesting principles, signed before a full shareholders’ agreement, reduces later ambiguity.
Early-Stage Funding and Key Hires
Indian term sheets increasingly follow recognizable market patterns. Founders should model the fully diluted cap table under different ESOP pool assumptions and understand the practical difference between 1x non-participating and participating liquidation preferences. Senior hires should receive equity that aligns long-term incentives through proper vesting; pure high-salary packages without meaningful ownership often create misalignment once the company grows. Vendor, technology, and channel-partner contracts deserve the same interest-based preparation as investor discussions.
Growth, Governance, Board Dynamics, and Exit
As ownership dilutes across successive rounds, board composition and the list of reserved matters become central to founder control and operational speed. Founders who have maintained constructive relationships with investors are better positioned to negotiate founder liquidity events, secondary sales, or acquisition structures that balance personal outcomes with team retention, earn-outs, and ongoing roles. Public Indian examples demonstrate both the value of maintaining meaningful ownership through multiple rounds and the cost of unresolved governance conflicts once significant value exists.
